Please join Cleary Gottlieb and The Conference Board’s Governance Center for a discussion of Dodd-Frank’s whistleblower provisions, and in particular Securities Exchange Commission Rule 21F-17, in light of the SEC’s enforcement action against KBR, Inc. The action against the Houston-based technology firm followed a series of statements by the SEC expressing concern about provisions in confidentiality, severance and similar agreements that might discourage individuals from reporting to the SEC potential securities law violations.
The panel will discuss best practices that companies and boards should consider to mitigate the risk of running afoul of the provisions designed to protect whistleblowers, ethical considerations arising from the SEC’s Whistleblower Program and recent developments about the Program, including an update on bounty payments and potential new areas of investigative interest.
