Just What Is the Corporate Director's Job? Delaware Bench and Bar Perspectives on the Board Member's Job Description

The latest installment of the Just What Is the Corporate Director's Job? series presents the perspective of the Delaware bench and bar from a roundtable held at The University of Delaware in Newark, DE, on March 28, 2018. We asked participants to consider how the role of the director has evolved and where gaps in understanding have resulted in conflict. Among the findings: there is an expectations gap between Delaware law (where judges do not review the directors’ decisions/actions if certain processes/procedures were followed) and the views of investors, proxy advisors, and the public.
