October 24, 2018 | Report

Voting by mutual funds at annual general meetings of public companies in India has increased, and these funds are likely to vote in line with management’s recommendations. On average, only 13 percent of mutual funds in the S&P BSE 500 and NIFTY 500 abstained from voting in 2017, down from 25 percent in 2014. Further, only 2 percent on average cast “against” votes in 2017, down from 6 percent in 2014. Resolutions most likely to get flagged by mutual funds were ones pertaining to employee stock ownership plans (11 percent) and to related-party transactions, remuneration and compensation of directors, and restrictions on the powers of the board (3 percent).
