Corporate Board Practices in the Russell 3000 and S&P 500: 2020 Edition

Corporate Board Practices in the Russell 3000 and S&P 500: 2020 Edition documents corporate governance trends and developments at 2,826 companies registered with the US Securities and Exchange Commission (SEC) that filed their proxy statement in the January 1 to December 31, 2019 period and, as of January 2020, were included in the Russell 3000 Index. For comparative purposes, the study also includes 496 companies in the S&P 500 index. The proxy statement analysis is complemented by the review of organizational documents (including articles of incorporation, bylaws, corporate governance principles, board committee charters, and other corporate policies made available in the Investor Relations section of companies’ websites).

The project is a collaboration among The Conference Board, Debevoise & Plimpton, the KPMG Board Leadership Center (BLC), Russell Reynolds Associates, the John L. Weinberg Center for Corporate Governance at the University of Delaware, and ESG data analytics firm ESGAUGE.
