There is no greater threat to businesses than cyber attacks.” These disheartening words come from SEC Commissioner Robert Jackson. Cyber attacks evolve and shift, making it hard for boards to understand this elusive risk and to ask management the right questions. How can directors and C-suite executives carry out their cybersecurity risk oversight responsibilities effectively? To help answer this question, the Governance Center is convening a new Working Group on Cybersecurity, in collaboration with Deloitte, to provide practical guidance that will help internal corporate stakeholders encountering oversight challenges. I also want to highlight our latest installment of the Job of the Corporate Director series, with academia’s perspectives on the corporate director’s job description derived from a roundtable held at The Conference Board in January. Among the conclusions: academia plays an important role in shaping the board’s job by unveiling empirical evidence of distorted behaviors, conflicts of interests, and inefficiencies.
