The latest installment of the Just What Is the Corporate Director's Job? series presents the perspective of the Delaware bench and bar from a roundtable held at the University of Delaware in March. We asked participants to consider how the role of the director has evolved and where gaps in understanding have resulted in conflict.
Among the findings: In the past, Delaware law has been director-centric, but that is being challenged as shareholders are claiming that engagement with boards is a necessity.
