Background
As The Conference Board predicted at the outset of last year, shareholder proposals on racial equity and civil rights audits have gained traction, with 18 proposals voted on last year that garnered an average of 44%. As of early May 2023, 18 proposals have already been filed (anti-ESG proposals not included). Even without a shareholder vote, companies are deciding to conduct racial equity audits either on their own or as part of an agreement with a shareholder to withdraw their proposal.
