M&A in 2025 is being reshaped by persistent market volatility, heightened regulatory and antitrust scrutiny, and a challenging deal-financing environment—pressuring boards to adopt more agile strategies, strengthen governance, and rethink long-term value creation. This high-level briefing, led by David A. Katz and his partners at Wachtell, Lipton, Rosen & Katz, Alison Preiss, Christina Ma and Lina Tetelbaum will provide senior governance executives with a pragmatic look at the current state of M&A.

Discussion topics will include:

  • Market Trends – what’s driving transactions and which industries are seeing accelerated growth, including AI-driven consolidation in technology, energy acquisitions, bank consolidation, and private equity activity and what we expect to see over the next 12 months.
  • Regulatory and Antitrust Scrutiny – evolving enforcement priorities in the US and abroad, and what they mean for dealmaking and timelines.
  • The Board’s Role – how directors and executives can weigh immediate deal value against long-term strategy and risk, and prepare for investor scrutiny.
  • Shareholder Activism and M&A – how activism is impacting M&A in the current environment.
  • Valuation and Financing Dynamics – how the cost of capital, investor expectations, and private equity strategies are shaping deal structures.
