Background

Steve is a seasoned leader and engagement partner with more than 30 years of experience building strategy and consulting practices & leading large-scale programs in transaction advisory, strategy and operations consulting.

Steve leads our Global Integration & Separation practice and leads our U.S Transaction Strategy practice. Steve has passion for leading and delivering various engagement teams through all aspects of the M&A life cycle in deal strategy, operations and synergy diligence, integration and separation, operational carve-out transactions and transformational business process optimization.

Representative Professional and Industry Experience

?      Led complex bottoms-up business optimization program of $100B plus business. Developed benchmark models, new organizational structures, built out strategy initiatives, and outlined current state optimization targets.

?      Advised client through post spin-off Day 1 execution.  Building post-day 1 operating models, TSA management, execution on critical value creation programs, and defined portfolio management supporting post spin transformation initiatives.

?      Led large public company carve-out that spanned 19 different countries, 25 work-streams and over 4000 employees. Included consolidation of multiple facilities, new product registration, integration of over 500 shared service employees and a complex cultural integration.

?      Supported the global separation efforts of a $15+B US multinational in the divestiture of a large business unit in a tax-free spin. The effort involved building and executing the separation plan for the 35 countries in scope, resulting in a stand-alone publicly traded company.

?      Advised a Fortune 50 life sciences company on the spinout of their vision and eye care products businesses in a $31B IPO to its shareholders, the largest ever in Europe. The business was heavily entangled, including global shared services, across 150 countries around the world. Continued to support 5 additional acquisitions and post-closing execution deals.

?      Led complex transaction that included a fortune 500 carve-out multi-site business, acquisition of private business and merged into newly formed business. Included 2 private equity firms and fortune 500 company. Managed overall integration strategy, TSA and post-close execution.

?      Advised a large distribution company on multiple strategic divestitures. Assisted client in defining various divestiture targets, then leading the overall separation process and day-1 readiness programs.

?      Led M&A assessment for a large global public company of an end-to-end M&A playbook that was rolled out across the organization.
