Described as a “Merger Review Maven” by Global Competition Review and an “Antitrust Merger Review Expert” by Chambers and Partners, Richie is Co-Chair of Winston’s Antitrust Transactions Practice and advises Fortune 500 and other public and private clients on antitrust and trade regulation issues, particularly domestic and international mergers and acquisitions.

Richie has been lead antitrust counsel in hundreds of domestic and multinational transactions covering myriad industries including numerous multi-billion dollar transactions. Richie's current clients include AAR, Atlas Holdings, Corning, Inc., Groupon, Icahn Enterprises, IPG Photonics, Lear Corp., Nuveen, Rent-A-Center, S.C. Johnson, Silgan, Synaptics and True Value Hardware. A list covering transactions from Richie’s 25+ years of experience can be provided upon request. 

Richie's primary goal is to get the transaction closed with as little impact and distraction caused by the antitrust process as possible. He takes a holistic approach, overseeing all aspects of a transaction, beginning with the analysis of potential antitrust issues before the transaction is structured, through the negotiation of asset purchase or similar agreements, and then through the completion of the HSR process and any other regulatory approvals. He has extensive experience with the Department of Justice, the Federal Trade Commission, and state and foreign regulators.

 

EDUCATION

Richie received a B.A., summa cum laude, in 1993 in Philosophy and Sociology from the State University of New York at Albany, where he was Phi Beta Kappa. He received a J.D. in 1996 from the University of Pennsylvania. Richie formerly taught antitrust law, with a focus on mergers and acquisitions, at the Wharton School at the University of Pennsylvania.
