Lillian Tsu is a partner in Cleary Gottlieb’s New York office. Her practice focuses on complex securities and corporate matters. She is a trusted advisor to U.S. and foreign public companies providing practical advice on legal and compliance issues affecting their day-to-day and strategic operations. She counsels management and boards of directors on SEC disclosure requirements, corporate governance matters, board and executive compensation, accounting restatements, shareholder activism, equity and debt offerings, public company mergers and acquisitions, spin-offs, and take-private transactions. Lillian regularly represents clients on capital markets transactions, including registered public offerings, private placements, and offerings under Rule 144A/Reg S, as well as tender offers, recapitalizations, exchange offers, consent solicitations, and private equity investments.
