Colleen Hart is a partner at Proskauer Rose LLP in the Tax Department and a member of its Compensation & Benefits Group, where she counsels companies, executives, and boards on complex executive compensation matters. She takes a multidisciplinary approach that integrates tax planning, securities laws, and corporate governance considerations. Her work includes negotiating, structuring, and implementing employment and change-in-control agreements, as well as designing deferred compensation, equity, and incentive compensation plans.­­

Licensed in California and New York, Colleen regularly advises on golden parachute and deduction limitation rules, securities reporting, registration, and disclosure requirements, along with compliance under California employment laws. She also has extensive experience addressing compensation and benefits issues in mergers and acquisitions, initial public offerings, bankruptcies, and finance transactions, ensuring clients navigate high-stakes situations with clarity and strategic precision.

Colleen earned her J.D. from Columbia Law School and her M.S. from the University of Rhode Island. A U.S. Navy veteran, she is deeply committed to supporting fellow service members, dedicating significant time to organizations that provide legal and advocacy services to veterans nationwide.
