Proxy Voting Fact Sheet (March 2013)

Early voting results for annual meetings held during the first two months of the year show high levels of support for board declassification proposals among Russell 3000 companies. Just over half of the proposals submitted by shareholders at Russell 3000 companies that held AGMs in January and February went to vote, while slightly more than one-third were omitted. The rate of omissions during the period was highest for executive compensation proposals and lowest for social and environmental policy
proposals.
