Sophia A. Muirhead is senior vice president, general counsel, and corporate secretary of The Conference Board. She is the first general counsel in the history of The Conference Board. Muirhead is responsible for selecting and supervising outside counsel, managing the intellectual property of The Conference Board, and working collaboratively with management and staff to devise solutions to ensure adherence to complex tax laws. In addition, Muirhead acts as the chief compliance officer of The Conference Board, which includes responsibility for the organization’s global legal compliance. In this capacity, she is responsible for devising and implementing policies to mitigate risk, developing staff policies and training in areas that touch on law and compliance, and creating and monitoring corporate governance and compliance policies and procedures. As corporate secretary to the board of trustees, Muirhead works with the chairman of The Conference Board, trustees, and board committee chairs to ensure that the board of trustees follows best practices in corporate governance, oversight, compliance, and risk management. Muirhead joined The Conference Board in 1998 as a senior research associate in global corporate citizenship. She cofounded the webcast program in 2002. In 2006, she was promoted to associate director of research working groups. During her career at The Conference Board, Muirhead has identified, developed, managed, and executed critical management research projects in ethics and compliance, marketing and finance, corporate citizenship and sustainability, and human capital. Before joining The Conference Board, Muirhead was an attorney in private practice specializing in corporate and securities law, and she represented underwriters and companies in initial public offerings and other securities related matters. Muirhead is admitted to practice law in the State of New York and is a member of the Association of the Bar of the City of New York, the New York State Bar Association, the Association of Corporate Counsel, and the Board of Trustees of The Hunter College Foundation. She received a JD from Harvard Law School and a BA magna cum laude and honors in political science from Hunter College. |
